BEYARE Terms of Use
Effective Date: 17 June 2026
1. Introduction
Welcome to BEYARE.
BEYARE is a Commercial Registry that enables businesses and professionals to create and maintain Commercial Files under a standardized Commercial Review framework.
By accessing or using the Platform, you agree to these Terms of Use.
If you do not agree to these Terms, you should not use the Platform.
2. The Platform
BEYARE operates as a Commercial Registry.
The Platform enables participants to:
- Create Commercial Files;
- Maintain Commercial Files;
- Submit information and supporting documentation for Commercial Review;
- Receive Commercial Review status updates; and
- Connect with counterparties through the Platform's contact request functionality.
BEYARE is not:
- A broker;
- A trading company;
- A due diligence provider;
- A certification authority;
- A credit bureau;
- A rating agency; or
- A guarantor of commercial performance.
3. Commercial Files
Participants may create Commercial Files containing information relating to:
- Their business;
- Professional activities;
- Products and services;
- Commercial operations; and
- Other information relevant to commercial counterparties.
Participants are solely responsible for ensuring that all information submitted is accurate, complete and lawful.
4. Commercial Review
BEYARE may review information and supporting documentation submitted by participants in accordance with its Commercial Review Standard.
Commercial Review statuses are intended solely to reflect the status of information submitted under the applicable review category.
Commercial Review does not constitute:
- Certification;
- Endorsement;
- Recommendation;
- Verification of honesty;
- Financial advice;
- Credit assessment;
- Due diligence; or
- A guarantee of future performance.
Users remain responsible for conducting their own investigations and assessments before entering into any commercial relationship or transaction.
5. Supporting Documents
BEYARE displays Commercial Files, not confidential documents.
Supporting documents submitted for Commercial Review are not publicly displayed through the Platform.
Only the Commercial File and the status of applicable Commercial Review categories are displayed.
Supporting documentation remains under the control of the participant and may be shared directly with counterparties at the participant's discretion.
Counterparties seeking supporting documentation must obtain such documentation directly from the participant concerned.
6. User Obligations
Users agree not to:
- Submit false, misleading or fraudulent information;
- Impersonate any person or entity;
- Misrepresent their authority or commercial activities;
- Upload unlawful content;
- Infringe the rights of third parties; or
- Use the Platform for unlawful purposes.
7. Contact Requests
BEYARE may facilitate contact requests between users.
BEYARE is not a party to any communication, negotiation, agreement or transaction resulting from such contact.
All interactions and commercial dealings remain the responsibility of the parties involved.
8. Suspension and Removal
BEYARE may suspend, restrict, amend or remove any Commercial File where:
- Information appears inaccurate or misleading;
- Documentation is inconsistent with the Commercial Review Standard;
- The Platform's integrity may be affected; or
- Such action is otherwise considered necessary by BEYARE.
9. Limitation of Liability
To the maximum extent permitted by law, BEYARE shall not be liable for:
- Commercial losses;
- Failed transactions;
- Fraud or misconduct by third parties;
- Reliance placed upon Commercial Files;
- Loss of profits;
- Indirect damages; or
- Consequential damages.
All commercial decisions remain the responsibility of the parties involved.
10. Intellectual Property
All rights in the Platform, Commercial Review Standard, methodologies, software, branding, content and intellectual property remain vested in BEYARE or its licensors.
No rights are granted except those expressly provided in these Terms.
11. Changes to These Terms
BEYARE may amend these Terms from time to time.
Continued use of the Platform following publication of revised Terms constitutes acceptance of such amendments.
12. Governing Law
These Terms shall be governed by the laws of the jurisdiction in which BEYARE is incorporated.
